1. About these terms

These Terms of Service ("Terms") govern your use of Awesome Ted, including the platform at app.awesometed.com (the "Platform") and our website at awesometed.com (the "Website"), together the "Service".

Versions for higher education, workplace and healthcare training

Awesome Ted ("we", "us", "our") is an extension of Business Case Logic, based in the United States and powered by Janna AI. Ted's agent technology is built by Janna AI Research Labs.

There are two kinds of users:

  • Organisations: universities, companies and other bodies that subscribe to Awesome Ted ("Organisations"). An Organisation's use is also governed by its order form or subscription agreement and our data processing agreement ("Customer Agreement"). If the Customer Agreement conflicts with these Terms, the Customer Agreement wins.
  • Individual users: the administrators, professors, team leads, students and team members an Organisation invites ("Users", "you").

By creating an account, signing in, or using the Service, you agree to these Terms. If you use Awesome Ted on behalf of an Organisation, you confirm that you are authorised to accept these Terms for it.

2. Who can use Awesome Ted

  • You must be 18 or older, or have any consent your Organisation and the law require. You confirm this when you accept these Terms.
  • You may use the Platform only if an Organisation has invited you or given you access.
  • You may not use the Service if you are barred from doing so under applicable law, including sanctions laws.

3. The service

Awesome Ted is a team feedback platform. It lets Organisations:

  • upload frameworks and documents, from which Ted drafts reflection questions (Briefs) that the Organisation reviews and publishes;
  • invite people into classes, programmes or teams;
  • have each person reflect in a conversation with Ted, an AI agent;
  • collect peer feedback between teammates;
  • produce results and grades that combine reflection quality and peer feedback, which the Organisation reviews and releases;
  • receive flags when someone raises a wellbeing, safety or harassment concern, or tries to misuse Ted.

The features available to you depend on your role and on how your Organisation has set up the Platform.

4. Accounts and sign in

  • Keep your sign in details secure and do not share your account. Sign in codes are single use and expire after 10 minutes. We will never ask you for a sign in code by phone, chat or email.
  • Tell us or your Organisation straight away if you think someone else has accessed your account.
  • You are responsible for activity on your account, except where it results from our failure to meet our security obligations.
  • We may sign you out of all devices, or ask you to reset your password, to protect your account.

5. Your organisation's responsibilities

Each Organisation:

  • decides who may use the Platform and with what role, and keeps its user list accurate;
  • is responsible for having a lawful basis, giving any required notices, and obtaining any required consents (including research consent and, where relevant, parental consent) for the personal data it processes through the Platform;
  • confirms it has the rights needed to upload the documents and content it uses with Awesome Ted;
  • reviews results before releasing them, and is responsible for decisions it makes using the Platform, including grades;
  • is responsible for responding to wellbeing and safety flags through its own support processes. Awesome Ted is not an emergency or crisis service;
  • sets retention periods within the limits the Platform allows, and places holds where records must be kept;
  • complies with the Customer Agreement and with laws that apply to it, including education, employment and data protection laws.

6. Acceptable use

You must not:

  • break the law, or use the Service to harass, threaten, discriminate against or harm anyone;
  • try to make Ted ignore or change its instructions, extract its instructions, or produce content that breaks these Terms;
  • upload content you do not have the right to use, or that contains malware, hidden instructions or deliberately misleading material;
  • impersonate anyone, or submit reflections or peer feedback that are dishonest, abusive or written to manipulate someone else's result;
  • access, or try to access, data you are not permitted to see, including another Organisation's data;
  • probe, scan or test the Service's security without our written permission. We welcome responsible security reports, as described on our Security page (awesometed.com/security/);
  • overload, disrupt or interfere with the Service, or bypass rate limits, usage limits or other controls;
  • use our forms to send messages to people who did not ask to hear from us;
  • scrape, copy, resell or reverse engineer the Service, or use it to build a competing product, except where the law allows this despite these Terms;
  • use outputs from the Service to train AI models, except as permitted in the Customer Agreement.

Ted may refuse requests that break these rules and may flag misuse to the responsible professor or lead.

7. Content and ownership

  • Your content: you keep ownership of what you write and upload, including reflections and peer feedback. Organisations keep ownership of their frameworks, documents and Briefs.
  • Permission to us: you and your Organisation give us a limited, worldwide, non-exclusive licence to host, copy, process, transmit and display that content, only as needed to provide, secure and support the Service, and as described in the Privacy Notice and the Customer Agreement.
  • Outputs: as between us and your Organisation, results, evaluations and other outputs the Service produces for your Organisation belong to your Organisation, subject to our rights in the Service itself.
  • Our property: we own the Service, including its software, design, Ted's character and artwork, the Awesome Ted name and logos, and our documentation. These Terms give you no rights in them except the right to use the Service as allowed.
  • Feedback: if you send us ideas or suggestions about the Service, we may use them without obligation to you.
  • Complaints about content: if you believe content on the Service infringes your rights, contact us at support@awesometed.com.

8. How AI is used, and its limits

  • Ted uses AI models provided by our sub-processors to hold conversations, understand documents and help evaluate reflections.
  • AI can make mistakes. Ted's questions, evaluations and summaries may be incomplete or inaccurate, and should not be relied on as professional, medical, legal or psychological advice.
  • Every result is reviewed by a person at your Organisation, who has the final word and can adjust it. Awesome Ted does not make decisions with legal or similarly significant effects based solely on automated processing.
  • If you think an evaluation is wrong, ask your professor or lead to review it.
  • Our AI providers process data under agreements that do not allow them to use it to train their models.
  • Hidden text in uploaded documents is ignored and never reaches Ted.

9. Data privacy

  • How we handle personal data is explained in our Privacy Notice at awesometed.com/privacy, which forms part of these Terms.
  • For Platform data, the Organisation is the controller and we are its processor (service provider, or school official under FERPA). We process Platform data only on the Organisation's documented instructions, under our data processing agreement, which includes the terms required by GDPR Article 28, UK GDPR and other applicable laws, and appropriate safeguards for international transfers.
  • For Website enquiries, we are the controller.
  • We do not sell personal data, do not share it for targeted advertising, and do not use Platform data to train AI models.
  • Each Organisation's data is kept separate from every other Organisation's. People see only what their role allows, and individual peer ratings are never shown to the person rated.
  • You can exercise your privacy rights as described in the Privacy Notice. For Platform data, contact your Organisation first; we will help it respond.

10. Data retention, export and deletion

  • Retention periods: Platform data is kept for the default periods in the Privacy Notice (for example, reflections, feedback and results for 2 years after a class or programme ends; consent and audit records for 6 years; exported files for 7 days; logs for 90 days; backups for about 4 weeks). Organisations may set shorter periods within the limits the Platform allows, but not longer.
  • Automatic deletion: data is deleted automatically when its period ends. Deleted data leaves our backups as they expire.
  • Legal holds: an Organisation's administrator may place a hold on specific records needed for an appeal, complaint or legal matter, which pauses their deletion until released.
  • Your export: you can ask for an export of your own data, containing what you wrote, the evaluations of it and your results, but not other people's feedback or identities.
  • Organisation export: an Organisation can export its data while its subscription is active, and for 30 days after it ends.
  • Deletion when a subscription ends: after that export period, we delete the Organisation's Platform data within 30 days, except records we must keep by law for their stated periods.
  • Anonymised data: we may keep anonymised data that can no longer identify anyone, and aggregated statistics, to operate and improve the Service.
  • Website enquiries: kept for 12 months in our support inbox, then deleted.

11. Security

We use appropriate technical and organisational measures to protect data, described in the Privacy Notice and the Customer Agreement, including encryption in transit, encryption of sensitive notes, database-level separation between Organisations, role-based access, rate limits, strict security headers and audit logs. We will notify affected Organisations without undue delay after becoming aware of a personal data breach affecting their data, as the Customer Agreement and the law require.

12. Availability, support and changes to the service

  • We aim to keep the Service available and reliable, but it may sometimes be unavailable, for example for maintenance or reasons outside our control. Any service levels are set out in the Customer Agreement.
  • Support is available at support@awesometed.com. We aim to reply within two working days.
  • We improve the Service over time and may change or remove features. If a change materially reduces the Service an Organisation has paid for, we will give reasonable notice as set out in the Customer Agreement.

13. Fees

Fees, billing and payment terms for Organisations are set out in the Customer Agreement. Individual Users do not pay to use the Platform through their Organisation.

14. Suspension and termination

  • You may stop using the Service at any time. Your Organisation controls your Platform account.
  • We may suspend or limit access, with notice where reasonable, if we believe it is needed to protect the Service or other users, to stop a serious breach of these Terms, or to comply with the law. We will restore access once the issue is resolved.
  • An Organisation's subscription ends as set out in the Customer Agreement. Section 10 explains what happens to its data.
  • Sections that by their nature should continue (including 7, 9, 10, 15, 17, 18, 19, 21 and 22) survive termination.

15. Confidentiality

Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms and the Customer Agreement. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law (with notice where lawful).

16. Third-party services

The Service relies on third-party providers listed in the Privacy Notice (for example hosting, email and AI providers). Links to other websites are provided for convenience and we are not responsible for their content or practices.

17. Disclaimers

Except as expressly stated in these Terms or the Customer Agreement, and to the extent the law allows, the Service is provided "as is" and "as available", and we disclaim all implied warranties, including of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Service will be error free or uninterrupted, or that AI outputs will be accurate. Nothing in these Terms limits rights you have as a consumer that cannot be limited by law.

18. Limitation of liability

To the extent the law allows:

  • neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data (other than our obligations to protect and restore data under the Customer Agreement);
  • each party's total liability arising out of or relating to the Service in any 12 month period is limited to the fees paid or payable by the Organisation in that period (or the amount set in the Customer Agreement);
  • for individual Users who pay nothing, our total liability is limited to US$100.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.

19. Indemnities

  • Organisations will defend and indemnify us against third-party claims arising from content they upload without the necessary rights, or from their breach of data protection laws in their use of the Platform, as set out in the Customer Agreement.
  • We will defend Organisations against third-party claims that the Service, as we provide it, infringes their intellectual property rights, as set out in the Customer Agreement.

20. Changes to these terms

We may update these Terms. We will show the new date at the top and, for material changes, give Organisations and Users reasonable notice before the changes take effect, for example by email or in the Platform. If you do not agree to the changes, stop using the Service; continuing to use it means you accept them.

21. Governing law and disputes

These Terms are governed by the laws of the United States, and the courts of the United States have exclusive jurisdiction, except where the law of your country gives you the right to bring a claim in your local courts or applies mandatory consumer protections. Before starting formal proceedings, each party will try in good faith to resolve the dispute by contacting the other.

22. General

  • These Terms, the Privacy Notice and any Customer Agreement are the whole agreement about the Service.
  • If any part of these Terms is unenforceable, the rest stays in effect.
  • Not enforcing a right is not a waiver of it.
  • You may not transfer your rights under these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets, with notice.
  • Neither party is liable for delays caused by events beyond its reasonable control.
  • You must comply with export control and sanctions laws when using the Service.
  • We aim for the Service to be accessible to everyone. If something is hard to use, tell us at support@awesometed.com.

23. Using our website

  • You may browse awesometed.com and use its forms for genuine enquiries about Awesome Ted.
